Terms of Service

1. Agreement

By downloading, installing, activating a licence, or otherwise using Simple Office Tools (the “App” or “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the App.

2. Who We Are & Contact

Merchant of Record: Payments are processed by Paddle (Paddle.com), which handles billing, invoicing, taxes, and buyer support.

3. Eligibility & Accounts

You must be legally capable of entering into a contract. If you create an account, you are responsible for safeguarding access to it and keeping your details current.

4. Licence & Activation

Grant. We grant you a non-exclusive, non-transferable licence to install and use the App in accordance with these Terms and your selected plan.

Per-seat licensing. Each paid seat authorises use on one device at a time. Seat transfers are permitted (e.g., when replacing a machine); we may limit transfers to prevent abuse.

Trial. We may offer a 30-day free trial. Trial features may be limited and may stop working at the end of the trial unless a paid licence is activated.

Activation & verification. The App may verify licence status online and record device identifiers (e.g., a hashed machine ID) to manage seats and prevent fraud.

5. Plans, Pricing & Taxes

Prices and features are posted on our site and may change. Taxes are calculated and collected by Paddle as applicable based on your location. If we change pricing for your subscription, we will notify you in advance and the change will apply on your next renewal.

6. Payments, Renewals & Cancellations

Merchant of Record. Paddle processes your payment and issues invoices/receipts. Your purchase is also subject to Paddle’s buyer terms.

Subscriptions. Plans renew automatically unless cancelled before the renewal date. You can cancel at any time to stop future renewal; access continues until the end of the current term.

Failed payments. If payment cannot be processed, we may suspend or terminate the licence until payment is resolved.

Refunds. Refunds are handled by our merchant of record, Paddle. Our refund windows and how to request a refund are set out in our Refund Policy. Nothing here limits rights you may have under applicable consumer laws.

7. Acceptable Use

You agree not to misuse the App. Prohibited activities include: reverse engineering; circumventing technical measures; using the App to infringe others’ rights; uploading or distributing malware; attempting to overload, interfere with, or gain unauthorised access to our services.

8. Intellectual Property

The App, documentation, and all related materials are protected by intellectual property laws. We reserve all rights not expressly granted. You may not remove or obscure proprietary notices.

9. Third-Party Services

We integrate with third-party providers (e.g., Paddle for billing; optional diagnostics). Your use of those services may be subject to their terms and privacy policies.

10. Updates & Changes

We may update the App to improve performance, security, or add/remove features. We may modify these Terms by posting an updated version. Material changes will be notified; continued use after changes means you accept the new Terms.

11. Analytics & Interaction Logs (No PDF Content)

What we collect. We may record non-content telemetry such as feature usage counts, button clicks, error traces/crash reports, app version, OS, anonymised or hashed device ID, timestamps, and basic network events (e.g., licence checks, checkout status). We do not collect or upload your PDF files or their contents.

Purpose. To operate, secure, and improve the App, diagnose issues, and understand feature adoption.

Control. To opt out of optional diagnostics/analytics, email joe@simpleofficetools.co.nz with your account email, company, and licence ID. We’ll confirm once disabled. Essential operational logs (e.g., licence verification and security) may continue as necessary to provide the Service. Where required by law, diagnostics are collected only with your consent, which you can withdraw at any time via the same email.

Retention. Interaction logs are typically retained for up to 90 days unless a longer period is required for security, fraud prevention, or legal obligations. See our Privacy Notice for details.

12. Privacy

Your personal information is handled as described in our Privacy Notice, which forms part of these Terms.

13. Warranties & Disclaimers

The App is provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law.

14. Limitation of Liability

To the maximum extent permitted by law, Simple Office Tools and its suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data. Our total liability for any claim relating to the Service is limited to the amounts you paid for the Service in the 12 months preceding the claim.

15. Indemnity

You agree to indemnify us against claims arising from your misuse of the App or violation of these Terms.

16. Suspension & Termination

We may suspend or terminate access for breach of these Terms, fraud, non-payment, or legal reasons. You may stop using the App at any time.

17. Governing Law

These Terms are governed by the laws of New Zealand, without regard to conflict-of-laws rules. Disputes will be subject to the exclusive jurisdiction of the courts of New Zealand.
